Submission Release Agreement
Before submitting your material, please read the following agreement carefully. You must accept it to proceed.
UNSOLICITED MATERIAL SUBMISSION RELEASE
This Submission Release ("Agreement") is entered into between the undersigned individual ("Submitter") and Angry Elf Entertainment, LLC ("Company"), a Florida limited liability company located in St. Petersburg, Florida, in connection with Submitter's submission of the material described in this form ("Material").
1. No Confidential Relationship.
Submitter acknowledges that by submitting the Material, no confidential, fiduciary, or other special relationship is created between Submitter and Company. Company shall have no obligation to hold the Material in confidence, and Company shall not be liable for any use or disclosure of the Material except as expressly required by applicable law.
2. No Obligation to Produce or Purchase.
Company's review of the Material creates no obligation on the part of Company to produce, option, license, purchase, or otherwise use the Material or any part thereof. Company makes no representation that it will respond to all submissions.
3. Prior Independent Development.
Submitter acknowledges that Company may have already developed, or may in the future develop, content that is similar to or the same as the Material without access to or use of the Material. Submitter agrees not to bring any claim against Company based on similarity between Company's independently developed content and the Material, provided Company does not use the protectable expression in the Material.
4. Ideas Are Not Protected.
Submitter understands that general ideas, themes, concepts, plots, and genres are not protectable under copyright law. Only Submitter's original expression is protected. Submitter agrees Company may use general ideas or unprotectable elements of the Material without compensation to Submitter.
5. Originality Warranty.
Submitter represents and warrants that: (a) the Material is wholly original with Submitter; (b) Submitter is the sole author or has the legal right to submit the Material on behalf of all authors; (c) the Material does not infringe any third-party rights, including copyright, trademark, right of publicity, or defamation; and (d) Submitter has not previously granted rights in the Material that would conflict with this Agreement.
6. Limitation of Liability.
In the event Company is found liable to Submitter in connection with the submission, review, or use of the Material in violation of this Agreement, Submitter agrees that Company's maximum liability shall not exceed the fair market value of the Material at the time of submission as determined by reasonable industry standards.
7. WGA Registration Recommended.
Company recommends that Submitter register the Material with the Writers Guild of America (WGA) at wgawregistry.org and file a copyright registration with the U.S. Copyright Office at copyright.gov. Company reminds Submitter that WGA registration does not confer copyright protection; it merely establishes a date of creation.
8. Dispute Resolution.
Any dispute, claim, or controversy arising out of or relating to this Agreement or the submission of the Material shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Pinellas County, Florida. Judgment on the arbitration award may be entered in any court of competent jurisdiction. The prevailing party shall be entitled to reasonable attorneys' fees and costs.
9. Governing Law.
This Agreement is governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.
10. Entire Agreement.
This Agreement constitutes the entire agreement between the parties with respect to the submission of the Material and supersedes all prior negotiations, representations, or agreements, whether written or oral. This Agreement may not be modified except by a written instrument signed by an authorized representative of Company.
11. Electronic Acceptance.
Submitter acknowledges that by checking the acceptance box and submitting this form, Submitter is executing this Agreement electronically. Submitter agrees that this electronic acceptance has the same legal effect as a physical signature and constitutes Submitter's binding acceptance of all terms.
Note: This release is a standard industry document. Company recommends that Submitter consult with an entertainment attorney before submitting any material. Nothing in this Agreement limits the protections afforded to Submitter by applicable copyright law.
